Transactional Associate Attorney

Chicago office of a BCG Attorney Search Top Ranked Law Firm seeks transactional associate attorney with 3-6 years of substantive experience with corporate and M&A, private equity, commercial lending, and real estate transactions. The candidate will have a working knowledge and understanding of corporate transactional work in M&A, private equity, commercial real estate, and commercial loan transactions. Will conduct due diligence, compliance, and contract reviews. Draft corporate formation documents and other supporting documentation for transactions, including disclosure schedules, corporate board resolutions, and diligence matrices. Review, draft and negotiate commercial contracts, memoranda, and other documentation. Must have experience with contract review, trademark, and copyright.

The candidate should have the ability to take the initiative and exercise professional discretion and independent judgment. Must possess strong written and verbal communication skills, including the ability to present legal issues in a clear and concise manner. Should have superb attention to detail and the ability to meet tight deadlines.
