Job Overview:
A prestigious law firm in San Francisco, CA, is currently seeking a skilled Mid-Level Corporate/IP Transactions Associate Attorney to join their Intellectual Property and Technology Transactions team. The ideal candidate will bring a strong background in handling complex intellectual property and technology-related transactions, including mergers and acquisitions, joint ventures, and other strategic corporate agreements. Duties:

• Manage and support technology transactions such as mergers and acquisitions, joint ventures, and strategic corporate agreements.

• Conduct detailed due diligence investigations for both buy-side and sell-side corporate transactions.

• Draft and negotiate various commercial contracts, including license and technology agreements.

• Provide expert counsel on intellectual property rights, including patents, copyrights, trademarks, and trade secrets.

• Assist clients in privacy transactions and compliance with privacy laws and regulations.

• Collaborate with other legal teams to ensure cohesive, well-rounded counsel in corporate and technology transactions.

• Maintain effective communication with clients and ensure their legal needs are met in a timely and professional manner.

Requirements:

• Substantial experience in corporate transactions, including both buy-side and sell-side M&A, joint ventures, and related agreements.

• Significant expertise in intellectual property and technology law, particularly in licensing and technology agreements.

• Proven ability to navigate privacy law and compliance issues, particularly about technology transactions.

• Strong research, writing, and analytical skills.

• Ability to manage multiple tasks and clients in a fast-paced environment.

Education:

• Juris Doctor (JD) degree from an accredited law school.

Certifications:

• Must be admitted to the State Bar in California (or eligible for admission).

Skills:

• In-depth understanding of intellectual property rights and technology law.

• Excellent negotiation skills with the ability to structure, draft, and negotiate complex agreements.

• Strong legal research and writing capabilities.
