A law firm seeks a skilled and motivated Mid-Level Associate to join its Public Company Advisory team. This role will primarily focus on providing day-to-day advisory services to public company clients on their federal securities obligations, corporate governance matters, and compliance with applicable listing standards. The ideal candidate will have significant experience in public company advisory work, including the preparation of SEC filings, and a solid understanding of executive compensation, board management, and corporate governance.

Duties

  • Advise public company clients on their ongoing disclosure obligations, including compliance with SEC regulations and listing standards.
  • Draft and review SEC filings such as Forms 10-K, 10-Q, 8-K, and proxy statements.
  • Guide on corporate governance issues and best practices.
  • Assist with executive compensation and related disclosures, including advising on the design and structuring of compensation packages.
  • Collaborate with clients on their interactions with the SEC, including responding to inquiries and managing SEC correspondence.
  • Stay informed on current developments in securities laws, corporate governance trends, and executive compensation.
  • Support clients through significant corporate events, including mergers, acquisitions, and special situations.
  • Provide risk mitigation advice and strategic guidance about ongoing reporting requirements.
  • Mentor junior associates and contribute to the growth of the practice.

Requirements

  • At least 4 years of experience in public company advisory work, particularly related to SEC filings and corporate governance.
  • Strong familiarity with U.S. securities laws, including Exchange Act filings and proxy statement disclosures.
  • Experience advising clients on executive compensation, board management, and compliance with listing standards.
  • Ability to handle complex legal issues, with an aptitude for strategic thinking and problem-solving.
  • Excellent communication skills, with the ability to clearly explain complex regulatory requirements to clients.
  • Ability to work in a collaborative team environment and manage multiple priorities.

Education

  • Juris Doctor (J.D.) from an ABA-accredited law school.
  • Strong academic record, particularly in securities law and corporate governance matters.

Certifications

  • Active attorney license in New York.
  • Admission to the bar in good standing.

Skills

  • Expertise in drafting and reviewing SEC filings, including Forms 10-K, 10-Q, 8-K, and proxy statements.
  • Deep understanding of U.S. securities laws and corporate governance standards.
  • Ability to navigate complex issues related to executive compensation and public company compliance.
