A law firm in Chicago is seeking a talented and experienced Mid-level Corporate M&A Associate Attorney to join their corporate team. The ideal candidate will have 3-5 years of experience representing public and private clients in M&A, private equity, venture capital, and general corporate matters. The role demands hands-on drafting and negotiating experience for complex M&A and private equity transactions, the ability to run key aspects of transactions, and experience managing deal teams and coordinating with clients.

 

Duties and Responsibilities:

  • Draft and negotiate complex M&A and private equity transaction documents, including acquisition and equity agreements, ensuring they are client-ready.
  • Serve as a key member of deal teams for middle-market transactions, taking responsibility for key transaction aspects.
  • Manage and coordinate all facets of transactions, including due diligence, structuring, and closing processes.
  • Communicate effectively with clients, providing updates and strategic advice throughout the transaction lifecycle.
  • Supervise and mentor junior associates and coordinate with subject matter experts to ensure comprehensive transaction support.
  • Review and analyze transaction-related documents and agreements.
  • Advise clients on general corporate matters, including governance, compliance, and strategic planning.
  • Stay current with relevant laws and regulations affecting M&A and private equity transactions.
  • Collaborate with senior attorneys and partners to develop and implement effective transaction strategies.
  • Maintain detailed and organized transaction files and documentation.

 

Requirements:

  • Hands-on drafting and negotiating experience for complex M&A and private equity transactions.
  • Experience as a key member of deal teams for middle-market transactions.
  • Proven ability to produce client-ready acquisition, equity, and related documents.
  • Strong experience in managing key aspects of transactions and coordinating with other associates and subject matter experts.
  • Excellent client communication skills.

 

Education:

Juris Doctor (JD) from an accredited law school.

 

Certifications:

Must be licensed to practice law in the state of Illinois or eligible for admission.

  • Exceptional written and verbal communication skills.
  • Effective project management and organizational skills.
