A law firm in Houston, TX, is seeking a qualified and experienced Projects (M&A) Counsel. The ideal candidate will have a strong background in mergers and acquisitions, particularly in the projects and energy sectors. This role involves working closely with clients, managing complex transactions, and providing expert legal advice to ensure successful deal execution.

Duties and Responsibilities:

  • Advise clients on mergers and acquisitions, joint ventures, and other strategic transactions within the projects and energy sectors.
  • Conduct due diligence investigations and prepare due diligence reports.
  • Draft, review, and negotiate transaction documents, including purchase agreements, shareholder agreements, and ancillary documents.
  • Manage all aspects of deal execution, including coordination with internal and external stakeholders, regulatory bodies, and other parties involved in transactions.
  • Provide strategic legal advice to clients on transaction structures, risk mitigation, and compliance with applicable laws and regulations.
  • Ensure timely and accurate completion of all legal documentation and filings.
  • Collaborate with other practice groups within the firm to provide comprehensive legal support to clients.
  • Keep abreast of industry trends, legal developments, and market conditions affecting the projects and energy sectors.
  • Mentor and supervise junior attorneys and support staff as needed.
  • Maintain and develop client relationships through effective communication and client service.

Requirements:

  • Admission to the Bar in Texas.
  • Experience in mergers and acquisitions, preferably with a focus on projects and energy sectors.
  • Proven track record of managing complex transactions from inception to completion.
  • Strong understanding of corporate law, securities regulations, and contract law.
  • Ability to work effectively both independently and as part of a team.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the Texas State Bar.

Skills:

  • Excellent analytical, organizational, and problem-solving skills.
  • Strong negotiation and drafting skills.
  • Superior oral and written communication skills.
  • Ability to manage multiple tasks and prioritize workload effectively.
  • High attention to detail and strong commitment to client service.
  • Proficiency in legal research tools and Microsoft Office Suite.
