Technology Transactions Licensing Associate

Job Overview: A law firm seeks a mid-level associate to join its growing technology transactions practice. This position is available in the firm’s offices located in Silicon Valley, San Francisco, Santa Monica, New York, or Washington, D.C. The ideal candidate will have a minimum of 3 years of experience in technology transactions, with a focus on intellectual property (IP) licensing, digital media, and corporate transactions. You will work with leading tech, media, consumer technology, and life sciences clients in both the U.S. and internationally, supporting a highly regarded team within the firm’s corporate and intellectual property groups.

Duties:

• Handle complex technology transactions, including IP licensing, M&A, and technology-related corporate transactions.
• Advise clients on content licensing, distribution agreements, and digital media transactions.
• Collaborate with the corporate and IP groups, providing expertise in technology aspects of mergers and acquisitions.
• Assist in negotiating and drafting commercial agreements related to technology and intellectual property.
• Provide strategic counsel on emerging trends and issues in the tech, digital media, and life sciences sectors.
• Work closely with clients to understand their business needs and provide tailored legal solutions.

Requirements:

• At least 3 years of experience in technology transactions, IP licensing, and digital media/consumer technology agreements.
• Experience with M&A and corporate transactions, particularly in the technology sector.
• Strong academic credentials with excellent oral, written, and interpersonal communication skills.
• Ability to manage complex legal matters while working collaboratively within a team.
• Candidates must be licensed to practice in the state of the office they are applying to or eligible to sit for the bar exam in that state.
• In-house candidates with prior law firm experience are also welcome to apply.

Education:

• Juris Doctor (J.D.) from an accredited law school.

Certifications:

• Admission to the bar in the state where the office is located or eligibility to sit for the next bar exam.

Skills:

• Expertise in technology transactions, IP licensing, and digital media law.
• Strong understanding of technology aspects of corporate transactions, including M&A.
• Excellent negotiation, drafting, and client communication skills.
• Ability to work effectively under pressure and manage multiple high-priority projects.
• Proven ability to collaborate with cross-disciplinary teams and advise on complex legal matters.
