Job Overview:
A law firm is seeking a highly experienced Tax Transactions Attorney to join its team. The ideal candidate will have 15-20 years of relevant experience in tax law, specifically related to mergers and acquisitions (M&A), corporate structures, and tax representations. This role requires a deep understanding of the tax implications of various transactions, along with the ability to provide strategic advice and support to clients involved in complex M&A activities.

Duties:

  • Advise clients on the tax treatment and consequences of mergers and acquisitions (M&A) transactions.
  • Provide counsel on the tax implications of owning interests in corporations, limited liability companies (LLCs), and other business entities.
  • Assist in structuring M&A transactions to ensure favorable tax outcomes.
  • Draft and negotiate tax representations and warranties in transaction documents.
  • Conduct thorough tax due diligence reviews to identify and address potential tax risks in M&A deals.
  • Collaborate with internal teams to ensure tax compliance and alignment with business strategies.

Requirements:

  • 15-20 years of relevant experience in tax law, specifically in M&A transactions and corporate tax structures.
  • Proven ability to structure complex tax arrangements and advise on M&A deals.
  • Strong understanding of tax law and the tax consequences of various business transactions.
  • Experience with drafting and negotiating tax-related documents, such as tax representations and due diligence reports.
  • Excellent oral, written, and interpersonal communication skills.
  • Ability to work independently and collaboratively with clients and colleagues in a fast-paced environment.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Active member of the state bar in good standing.
