A law firm seeks a highly skilled and detail-oriented Senior Business and Transactional Attorney with specialized expertise in tax law to join its team in San Rafael, California. This role focuses on advising clients on the taxation of entities and owners, particularly involving partnerships, S corporations, and real estate transactions. Duties

• Advise clients on tax implications related to business formations, transactions, and ownership structures.
• Draft and review contracts, agreements, and other transactional documents with a focus on tax considerations.
• Conduct in-depth legal research on evolving tax laws and regulations at both federal and state levels.
• Provide guidance on real estate transactions, entity structuring, and ownership transfers with an emphasis on tax efficiency.
• Collaborate with internal legal teams and external advisors to develop comprehensive strategies for complex business and tax matters.
• Prepare and present clear, strategic legal advice to clients, explaining complex tax issues in accessible terms.
• Ensure compliance with all applicable tax laws while creatively identifying opportunities for tax savings and risk mitigation.

Requirements

• Minimum of 5 years of transactional and tax law experience, including work with partnerships, S corporations, and real estate matters.
• Proven ability to manage multiple transactional projects simultaneously, meeting deadlines and delivering high-quality work product.
• Strong legal research, analytical, and communication skills, with the ability to present complex information clearly.
• Comfortable working both independently and as part of a collaborative legal team.

Education

• Juris Doctor (JD) from an ABA-accredited law school.
• Master of Laws (LLM) in Taxation (Required).

Certifications

• Active California State Bar license (Required).
