Job Overview

A prestigious law firm based in San Diego is seeking two seasoned legal professionals to expand its dynamic Energy, Infrastructure, and Project Finance practice. The ideal candidates will bring a wealth of experience in either debt-focused project financing or tax equity/mergers and acquisitions within the renewable energy sector. This opportunity offers the chance to work closely with prominent clients on high-impact transactions shaping the future of sustainable infrastructure and clean energy development.

Duties

  • Advise sponsors and financing entities on transactions related to renewable energy projects

  • Lead drafting and negotiation of a variety of finance-related documents

  • Oversee legal structuring and execution of project debt or equity arrangements

  • Guide joint ventures, asset acquisitions, and project-level investment structures

  • Collaborate with internal teams and external stakeholders including banks, developers, and contractors

  • Supervise junior attorneys throughout deal cycles

  • Engage in direct client communication and coordination with third-party advisors

  • Navigate ancillary agreements related to construction, supply, and operations

Requirements

  • Minimum of 5 years of legal experience within the energy finance space

  • Demonstrated background in large-scale infrastructure or renewable energy transactions

  • Proven capability in managing complex deal processes and teams

  • High proficiency in client service and transactional leadership

  • Active membership in the California Bar (or eligibility to practice under applicable provisions)

Education

  • Juris Doctor (J.D.) from an accredited U.S. law school

  • Strong academic performance with top-tier credentials preferred

Certifications

  • Active Bar membership in the State of California

Skills

  • In-depth understanding of project finance structures (debt or equity)

  • Expertise in negotiating term sheets, purchase agreements, partnership agreements, and related instruments

  • Familiarity with industry-standard project documentation such as EPC Contracts, Offtake Agreements, and O&M Agreements

  • Advanced legal drafting and analytical skills

  • Ability to communicate effectively with stakeholders at all levels

  • Strategic thinking combined with practical, business-oriented legal advice
