A law firm seeks a mid-level transactional attorney to join its business and transactions practice. This role offers an exciting opportunity to work on a broad range of corporate matters, including mergers & acquisitions, entity formation, governance, and related activities. The ideal candidate will be detail-oriented, self-directed, and able to manage multiple tasks in a fast-paced environment, all while providing high-quality legal services to clients. Duties

  • Lead and assist in the negotiation and drafting of key documents related to mergers & acquisitions, including primary agreements and ancillary contracts.
  • Support clients with entity formation, governance matters, and equity-sharing arrangements.
  • Work closely with other legal professionals, including attorneys and paralegals, to ensure smooth coordination on various matters.
  • Communicate regularly with clients' business and legal teams to gather necessary information and ensure client needs are met.
  • Collaborate with colleagues from other practice areas to provide comprehensive legal solutions for clients.
  • Manage and oversee multiple projects simultaneously, ensuring timely and efficient completion of tasks.

Requirements

  • 5-7 years of experience in transactional law, particularly in mergers & acquisitions and entity governance.
  • Strong drafting, negotiation, and communication skills, with attention to detail and accuracy.
  • Ability to think critically and approach legal matters with a business mindset.
  • Demonstrated ability to handle complex transactions and work efficiently in a team setting.
  • Strong organizational and time-management skills.
  • Licensed to practice law in the State of New Jersey.

Education

  • Juris Doctor (JD) from an accredited law school.

Certifications

  • Licensed to practice law in New Jersey.
