Job Overview:
A prominent law firm located in Chicago, IL is seeking a mid-level associate to join its dynamic Intellectual Property/Technology Transactions team. The ideal candidate will have a strong background in advising on the intellectual property aspects of corporate transactions, including mergers and acquisitions, joint ventures, and financing. This position provides an excellent opportunity to work on complex matters involving intellectual property rights and commercial contracts while assisting clients in strategic business decisions.

Duties:

• Advise clients on intellectual property matters related to mergers, acquisitions, joint ventures, and other strategic business transactions.
• Lead due diligence investigations in buy-side and sell-side corporate transactions.
• Draft and negotiate license agreements, technology agreements, and other commercial contracts.
• Counsel clients on the management and protection of intellectual property rights, ensuring alignment with business goals.
• Collaborate with internal teams and clients to navigate complex legal issues in IP and technology-related matters.
• Provide guidance on structuring and negotiating intellectual property aspects of business transactions.

Requirements:

• Significant experience advising on intellectual property aspects of corporate transactions, including mergers, acquisitions, and joint ventures.
• Proven expertise in negotiating and drafting technology agreements, license agreements, and commercial contracts.
• Strong understanding of intellectual property rights and their application in various business contexts.
• Experience in conducting due diligence investigations and advising clients on risk management.
• Excellent communication and negotiation skills.

Education:

• Juris Doctor (JD) degree from an accredited law school.
• Admission to the Illinois Bar is required.

Certifications:

• Illinois Bar membership.

Skills:

• Strong legal research and writing capabilities.
• Expertise in IP law, particularly in corporate and commercial transactions.
• Strong client relationship management skills.
