A law firm in Dallas, TX is seeking a skilled Projects (M&A) Counsel to join their team. The role involves providing strategic legal advice and support on mergers and acquisitions projects, ensuring compliance and facilitating successful transactions.

Duties and Responsibilities:

  • Advise clients on mergers, acquisitions, divestitures, joint ventures, and other corporate transactions.
  • Conduct comprehensive due diligence reviews and risk assessments for M&A deals.
  • Draft, review, and negotiate transactional documents including purchase agreements, merger agreements, and confidentiality agreements.
  • Provide guidance on corporate governance matters and regulatory compliance related to M&A transactions.
  • Collaborate with internal teams, clients, opposing counsel, and regulatory authorities throughout the transaction lifecycle.
  • Assist in structuring complex corporate transactions to meet client objectives and legal requirements.
  • Conduct legal research on various issues and provide strategic recommendations to clients.
  • Stay updated on changes in corporate laws, regulations, and industry trends affecting M&A transactions.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active Bar membership in good standing in Texas.
  • Experience practicing law with a focus on mergers and acquisitions, preferably in a law firm environment.
  • Proven track record of handling M&A transactions from inception to completion.
  • Strong understanding of corporate finance, securities laws, and regulatory compliance.
  • Excellent drafting, negotiation, and communication skills.
  • Ability to work independently and collaboratively within a team-oriented environment.
  • Strong attention to detail and analytical skills.
  • Commitment to maintaining high ethical standards and client confidentiality.

Preferred Certifications:

  • Certification in Mergers and Acquisitions (M&A) or related field is a plus.

Preferred Skills:

  • Experience with international M&A transactions.
  • Knowledge of tax implications in corporate transactions.
  • Proficiency in additional languages is advantageous.
