A law firm seeks an experienced Investment Management Associate Attorney to join its team in Philadelphia, PA. The ideal candidate will have 3-8 years of experience in the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933, the Securities Exchange Act of 1934, and related regulations. Duties:

  • Advise and represent registered investment companies on regulatory matters, including compliance with the Investment Company Act of 1940 and the Investment Advisers Act of 1940.
  • Prepare, review, and assist with the filing of registration statements and offering documents.
  • Draft and review board meeting materials, investment management agreements, and related legal documents.
  • Provide counsel on a range of securities law issues, including the Securities Act of 1933 and the Securities Exchange Act of 1934.
  • Collaborate with senior attorneys and clients on complex legal matters in investment management.
  • Stay updated on regulatory changes and provide strategic insights to clients.
  • Handle client communications, providing legal guidance and ensuring compliance with all applicable regulations.

Requirements:

  • 3-8 years of experience in investment management law, including knowledge of the Investment Company Act of 1940, Investment Advisers Act of 1940, and related securities regulations.
  • Experience in drafting and reviewing registration statements, offering documents, and investment management agreements.
  • Strong writing skills with exceptional attention to detail.
  • Excellent problem-solving attitude, intrinsic motivation, and strong academic credentials.
  • Ability to work collaboratively in a team environment and manage multiple priorities effectively.
  • A proactive approach to client management and case handling.
  • Strong communication skills for providing clear legal advice to clients.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active membership in the state bar where the attorney is practicing (Pennsylvania preferred).

Skills:

  • In-depth knowledge of the Investment Company Act of 1940, Investment Advisers Act of 1940, Securities Act of 1933, and Securities Exchange Act of 1934.
  • Experience with the preparation of registration statements, offering documents, and investment management agreements.
  • Excellent legal writing, research, and analytical skills.
  • Strong organizational and time-management abilities.
  • Ability to work independently and in a collaborative environment.
