A law firm seeks a Project Finance Associate to join its team in Houston, TX. The ideal candidate will bring significant experience in transactional law, with a focus on debt project finance and/or tax equity matters. This position involves high-level negotiations, document preparation, and due diligence for complex project finance transactions across various industries.

Duties:

  • Negotiate, draft, and review key financial documents, including credit agreements, inter-creditor arrangements, collateral documents, and other related credit documentation.
  • Handle the preparation and negotiation of tax equity transaction documents, such as equity capital contribution agreements, membership interest purchase agreements, LLC agreements, leases, and related ancillary documentation.
  • Conduct comprehensive due diligence on major project agreements, including joint venture agreements, feedstock, offtake agreements, EPC/EPCM contracts, O&M services agreements, transportation agreements, and commodity purchase and sale contracts.
  • Collaborate with clients to structure and execute complex project finance and tax equity transactions.
  • Provide legal advice and support to clients on issues related to project development, financing, and operation.

Requirements:

  • 3–5 years of relevant experience (classes 2020–2022) in project finance or tax equity transactions within a law firm environment.
  • Strong understanding of credit documents, tax equity structures, and project agreements.
  • Proven ability to manage large-scale transactions and work effectively under deadlines.
  • Exceptional communication and client-management skills.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school with strong academic performance.

Certifications:

  • Licensed to practice law and in good standing with a state bar (Texas bar admission preferred or eligibility for admission without examination).

Skills:

  • Expertise in drafting and negotiating complex legal documents.
  • Strong analytical and problem-solving abilities.
  • Excellent organizational skills and attention to detail for managing transaction workflows.
  • Ability to work collaboratively with internal teams and external stakeholders.
