Job Overview:
A law firm is seeking an associate with 5+ years of relevant experience to join its distinguished Emerging Companies and Venture Capital practices. This position offers the opportunity to represent a wide range of clients, including venture capital firms, corporate-venture capital investors, and emerging growth companies. The ideal candidate will have experience working on venture capital transactions, financing deals, fund formation, and corporate matters. This role provides the chance to work on sophisticated transactions at both the national and international levels, in a collaborative environment with leading practitioners.

Location:
Raleigh, North Carolina

Duties:

  • Represent venture capital firms, corporate-venture capital investors, and emerging growth companies in financing transactions and investment deals
  • Work on corporate matters for startups and mature industry leaders, including venture-backed companies
  • Assist with fund formation matters
  • Provide strategic legal advice related to capital raising, corporate governance, and financing
  • Draft and negotiate investment documents, term sheets, and other transactional agreements
  • Collaborate with other attorneys to support clients' growth and funding initiatives
  • Maintain strong relationships with clients and provide practical advice on business and legal matters
  • Assist in structuring and managing complex investment and corporate transactions

Requirements:

  • 5+ years of relevant law firm experience in emerging companies, venture capital, or investment transactions
  • Experience with financing transactions, fund formation, and corporate governance
  • Strong literacy with financial matters, spreadsheets, and venture capital investment structures
  • NC Bar admission preferred (or ability to waive in)
  • Outstanding academic background, including undergraduate and law school achievements
  • Excellent written, analytical, and verbal communication skills

Education:

  • Juris Doctor (J.D.) from an accredited law school

Certifications:

  • NC Bar admission or ability to waive in

Skills:

  • Strong knowledge of venture capital, emerging companies, and financing transactions
  • Ability to manage complex investment and corporate matters
  • Proficiency in financial documents and spreadsheets
  • Excellent negotiation, drafting, and communication skills
  • Ability to work collaboratively in a team-oriented environment
  • Strong organizational and time-management skills
