Mid- to Senior-level Mergers and Acquisitions Associate Attorney

A law firm in Baltimore, MD, is seeking a Mid- to Senior-level Mergers and Acquisitions Associate Attorney with a strong background in M&A, joint ventures, strategic alliances, restructurings, and related legal matters. The ideal candidate should possess excellent communication and analytical skills, be able to interact effectively with sophisticated client teams, and have experience in securities issuances and venture capital/private equity financings.

Duties:

• Conduct legal research, analysis, and due diligence related to M&A transactions, joint ventures, strategic alliances, and restructurings.
• Draft, review, and negotiate a wide range of legal documents, including contracts, agreements, and transactional documents.
• Provide legal counsel and guidance to clients on M&A matters, ensuring compliance with applicable laws and regulations.
• Collaborate with client teams to develop and implement strategies for successful mergers, acquisitions, and related transactions.
• Participate in negotiations, meetings, and communications with clients and other legal professionals.

Requirements:

• Minimum of 3 years of relevant legal experience in Mergers and Acquisitions, joint ventures, strategic alliances, and restructurings.
• Familiarity with securities issuances and venture capital/private equity financings is a plus.
• Must hold a law degree from an ABA-accredited law school.
• Active membership in the Bar in the United States.

Education:

• Juris Doctor (JD) degree from an ABA-accredited law school.

Certifications:

• Active membership in the Bar in the United States.
