Job Overview:
A prestigious law firm based in Washington, DC is seeking a skilled Tax Associate Attorney with expertise in transactional tax matters, including mergers and acquisitions, transaction structuring, and entity formation. The ideal candidate will be a mid-level attorney, adept at navigating complex federal tax regulations related to business transactions. This position offers the opportunity to contribute to a dynamic practice group, with a focus on corporate and tax law.

Duties:

  • Advise clients on federal transactional tax matters, including mergers, acquisitions, and business transactions.
  • Assist in transaction structuring, including entity formation and choice of entity advisory.
  • Draft, review, and negotiate partnership agreements and other business transaction documents.
  • Collaborate with other practice areas to deliver integrated legal solutions to clients.
  • Maintain and build client relationships through exceptional legal advice and communication.
  • Stay updated on changes in tax laws and regulations to provide informed counsel.

Requirements:

  • Minimum of 3 years of experience in federal transactional tax law.
  • Experience with mergers and acquisitions, transaction structuring, and entity formation.
  • Strong knowledge of partnership agreements and tax-related business transactions is a plus.
  • Excellent written and verbal communication skills.
  • Proven ability to work independently and as part of a team in a fast-paced environment.
  • Strong problem-solving skills and attention to detail.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Must be admitted to practice law in Washington, DC, or another major jurisdiction (California, Florida, Illinois, Massachusetts, New Jersey, New York, Pennsylvania, Ohio, Oregon, Tennessee, or Washington, DC).

Skills:

  • In-depth understanding of federal tax laws and regulations related to business transactions.
  • Expertise in drafting and negotiating transactional documents.
  • Strong analytical and problem-solving abilities.
  • Ability to communicate complex legal concepts to clients clearly and concisely.
  • Effective time management and organizational skills.
