A law firm in Charlotte, NC, is seeking a Lateral Leveraged Finance Associate Attorney with a strong background in representing banks, private credit lenders, and/or borrowers in complex lending transactions. The ideal candidate will have significant experience in running deals, managing teams, and drafting primary deal documents, demonstrating a drive for learning and a capability to contribute immediately in a dynamic client-facing practice.

 

Duties and Responsibilities:

  • Lead and manage leveraged finance transactions, including syndicated and bilateral credit facilities, acquisition financings, and other leveraged and investment grade lending transactions.
  • Draft and negotiate primary deal documents such as credit agreements, security agreements, and intercreditor agreements.
  • Conduct due diligence, review legal documents, and provide strategic advice to clients on financing structures and regulatory compliance.
  • Collaborate closely with clients, internal teams, and external stakeholders to execute transactions efficiently and achieve client objectives.
  • Manage junior associates and legal staff involved in leveraged finance transactions, providing mentorship and guidance as needed.

 

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active membership in good standing with the North Carolina State Bar or eligibility for admission by waiver.
  • 2+ years of experience practicing law with a focus on leveraged finance transactions at a reputable law firm or financial institution.
  • Proven track record of independently managing and closing complex financing transactions.
  • Strong understanding of syndicated lending, acquisition finance, and other forms of leveraged lending.
  • Excellent drafting skills and attention to detail in preparing legal documents and transactional agreements.
  • Ability to thrive in a fast-paced environment, manage multiple priorities, and deliver high-quality work under tight deadlines.
  • Effective communication skills, both written and verbal, with the ability to interact professionally with clients and colleagues.

 

Preferred Skills:

  • Experience representing financial institutions, private equity sponsors, or corporate borrowers in leveraged finance matters.
  • Familiarity with regulatory frameworks and compliance issues related to lending transactions.
  • Previous experience managing junior attorneys or legal staff in a transactional practice.
