Job Overview: A law firm in Boston, MA, is seeking a skilled Fund Formation and Investment Management Associate Attorney with 3-6 years of relevant experience. The ideal candidate will be responsible for fund formation, investment management, and regulatory compliance, serving a diverse clientele, including institutional investors and private investment funds.

Job Duties:

  • Structuring and forming investment funds, including negotiating with institutional investors such as government pension plans, funds-of-funds, endowments, and foundations.
  • Handling secondary sales of LP fund stakes on both buy- and sell-side transactions.
  • Managing GP-led fund restructurings and related transactions.
  • Advising clients on Investment Advisers Act registration and compliance matters.
  • Drafting and reviewing legal documents related to fund formations and investment management.
  • Managing complex projects and transactions involving multiple attorneys and paralegals.
  • Providing direct support to partners, senior counsels, senior associates, and clients as part of a collaborative team environment.

Requirements:

  • JD degree from an ABA-approved law school.
  • Active membership in good standing with the Massachusetts Bar.
  • 3-6 years of experience in fund formation and investment management, including structuring, negotiating, and regulatory compliance.
  • Expertise in Securities Act regulations about private investment funds.
  • Excellent document drafting skills and attention to detail.
  • Strong interpersonal skills with the ability to work effectively in a team-oriented environment.
  • Proactive attitude, exceptional work ethic, and ability to thrive in a fast-paced legal practice.

Preferred Skills:

  • Experience with Investment Advisers Act compliance.
  • Prior exposure to GP-led fund restructurings.
  • Familiarity with tax implications related to fund formations.
