Job Overview: A leading law firm in Los Angeles is seeking a Lateral Associate to join its Finance team, focusing on restructuring and special situations finance. The ideal candidate will have significant experience representing creditors or borrowers in liability management transactions, DIP financings, bankruptcy exit financings, and special situations financings. This role provides the opportunity to work with the Global Finance team and collaborate with the Business Restructuring & Reorganization team on high-profile matters, representing top-tier financial institutions.

Location:

  • Los Angeles, CA

Duties:

  • Represent creditors or borrowers in liability management transactions, DIP financings, and bankruptcy exit financings.
  • Handle special situations financings for clients, including hedge funds, CLOs, private equity funds, and other financial institutions.
  • Work on top-of-the-capital structure representations in both chapter 11 cases and out-of-court restructurings.
  • Collaborate with the Global Finance and Business Restructuring & Reorganization teams on complex financial and restructuring transactions.
  • Draft and negotiate financing agreements and other related documents.
  • Advise clients on strategic financing solutions and legal compliance.

Requirements:

  • 5-8 years of experience in finance or restructuring law.
  • Significant experience representing creditors or borrowers in complex financial transactions.
  • Expertise in DIP financings, bankruptcy exit financings, liability management transactions, and special situations financings.
  • Strong drafting, negotiation, and analytical skills.

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Strong academic credentials are required.

Certifications:

  • Admission to the bar in California, or eligibility for admission.

Skills:

  • Expertise in complex financial transactions, including restructuring and special situations.
  • Strong drafting, negotiation, and legal research skills.
  • Ability to work collaboratively with cross-functional teams.
  • Strong client management and communication abilities.
  • Analytical mindset with attention to detail.
