Job Title: Tax Associate Attorney

Job Overview:
A law firm is seeking an experienced and skilled Tax Associate Attorney to join its dynamic Tax practice. The ideal candidate will be a mid-level associate specializing in transactional tax matters, including mergers and acquisitions, structuring of business transactions, and entity formation. This position offers the opportunity to work within a highly regarded team, focusing on a broad range of complex federal tax issues.

Duties:

  • Advise clients on federal tax issues, specifically relating to mergers, acquisitions, and business transactions.
  • Structure and guide entity formation and choice-of-entity decisions.
  • Draft and negotiate various agreements, including partnership agreements.
  • Work on complex tax transactions, providing insight into tax implications and solutions.
  • Collaborate with cross-functional teams to ensure tax compliance and optimal transaction structuring.
  • Develop and maintain strong client relationships, ensuring excellent service delivery.

Requirements:

  • Minimum of 3 years of relevant experience in federal transactional tax matters.
  • Proven expertise in mergers and acquisitions, transaction structuring, and entity formation.
  • Strong experience in drafting and negotiating partnership agreements is a plus.
  • Excellent written and verbal communication skills.
  • Strong attention to detail and problem-solving capabilities.
  • Ability to handle complex, time-sensitive matters with efficiency and precision.

Education:

  • Juris Doctorate (JD) required from an accredited law school.

Certifications:

  • Must be admitted to practice law in at least one of the following states: California, Florida, Illinois, Massachusetts, New Jersey, New York, Pennsylvania, Ohio, Oregon, Tennessee, or Washington, DC.

Skills:

  • Strong academic background.
  • Expertise in federal tax law, particularly transactional tax.
  • Exceptional negotiation and drafting skills.
  • Ability to work collaboratively in a fast-paced environment.
  • High level of professionalism and client-focused approach.
