A law firm seeks a skilled Corporate and Securities Attorney with 5-10 years of experience to join its thriving corporate practice in Minneapolis, MN. The ideal candidate will have extensive experience in corporate law, mergers and acquisitions, securities compliance, and transactional matters. Duties

  • Advise clients on the formation and operations of corporations and limited liability companies in Minnesota, Delaware, and other states.
  • Guide on selecting the appropriate entity for new businesses.
  • Handle mergers, acquisitions, and dispositions, including structuring and executing transactions.
  • Oversee private placements, Regulation D offerings, and compliance with federal and state securities laws.
  • Implement and manage equity incentive plans, including stock options and restricted stock.
  • Draft resolutions for corporate actions, including board and shareholder resolutions.
  • Counsel corporate directors and executive officers on legal matters.
  • Structure equity allocations for startup founders and employees.
  • Manage seed and venture capital financing transactions.
  • Draft corporate agreements such as NDAs, MSAs, Terms of Use, employment agreements, shareholder agreements, and buy-sell agreements.
  • Provide basic advice on recurring tax, employment, and intellectual property issues.

Requirements

  • 5-10 years of experience in corporate and securities law, with a focus on transactional matters.
  • Proven ability to manage multiple assignments and work effectively within a team.
  • Strong legal writing and analytical skills, with a detail-oriented approach.
  • Excellent communication and negotiation skills.
  • Ability to build and maintain strong relationships with clients and colleagues.
  • Licensed to practice law in Minnesota.

Education

  • Juris Doctor (JD) from an accredited law school.

Certifications

  • Active membership with the Minnesota State Bar or eligibility to practice law in Minnesota.
