A law firm in New York City, NY is seeking a Mid-level Corporate Associate Attorney with 3-5 years of experience. The ideal candidate should possess a strong background in mergers and acquisitions, corporate governance, private equity, securities, and general corporate work. Exceptional academic credentials and an active law license are mandatory for this role.

 

Duties:

  • Conduct legal research and analysis relevant to corporate transactions.
  • Draft and review various transactional documents such as merger agreements, stock purchase agreements, and shareholder agreements.
  • Provide guidance on corporate governance matters including board meetings, corporate disclosures, and compliance issues.
  • Assist in structuring and executing private equity investments, including due diligence.
  • Participate in securities offerings, including initial public offerings (IPOs) and private placements.
  • Offer legal counsel on a range of general corporate matters including contract negotiation, corporate restructuring, and entity formation.

 

Requirements:

  • 3-5 years of relevant experience in corporate law.
  • Demonstrated expertise in mergers and acquisitions, corporate governance, private equity, securities, and general corporate work.
  • Outstanding academic credentials from a reputable law school.
  • Active law license in good standing.

 

Education:

Juris Doctor (JD) degree from an accredited law school.

 

Certifications:

Active law license.
