A law firm in Washington, DC, is seeking a talented Projects (M&A) Counsel to join its dynamic team. The ideal candidate will provide expert legal advice and support on a variety of projects and mergers & acquisitions transactions.

Duties:

  • Provide strategic legal counsel and transactional support on complex projects and M&A transactions.
  • Draft, review, and negotiate contracts, agreements, and transactional documents.
  • Conduct due diligence investigations and risk assessments for projects and M&A deals.
  • Collaborate with internal teams and external stakeholders to facilitate successful project execution.
  • Advise clients on legal and regulatory issues related to projects and M&A activities.
  • Handle legal aspects of project financing, including structuring and negotiating financing agreements.
  • Manage and oversee junior associates and legal staff involved in projects and transactions.
  • Ensure compliance with applicable laws, regulations, and ethical standards.

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Bar admission in Washington, DC.
  • Experience in projects, mergers & acquisitions, or related areas at a reputable law firm or in-house legal department.
  • Proven track record of handling complex projects and M&A transactions from inception to completion.
  • Strong understanding of corporate governance, financing, and regulatory frameworks.
  • Excellent drafting, negotiation, and communication skills.
  • Ability to work effectively under pressure and meet deadlines in a fast-paced environment.
  • Leadership qualities with the ability to mentor and manage legal team members.

Preferred Skills:

  • Experience with cross-border transactions and international legal frameworks.
  • Proficiency in additional languages.

Certifications (if applicable):

  • Certification in Project Management or related field (desired).
