Duties:

  • Manage and oversee public and private equity offerings, including initial public offerings (IPOs) and follow-on offerings.
  • Draft and review proxy statements, S-4 registration statements, and other SEC filings related to business combination transactions.
  • Advise on ongoing reporting requirements under the Securities Exchange Act of 1934, including 10-Ks, 10-Qs, and 8-Ks.
  • Provide day-to-day counsel to public companies on corporate governance matters.
  • Conduct legal research and analysis related to securities laws and regulations.
  • Interface with regulatory authorities such as the SEC and other relevant bodies.
  • Negotiate and draft legal documents, contracts, and agreements related to capital markets transactions.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to one or more State Bars (preferably Virginia or eligible for reciprocity).
  • 4+ years of experience in capital markets law, focusing on public and private equity offerings.
  • Experience representing both issuers and underwriters is preferred.
  • Familiarity with SPACs, REITs, and debt offerings is beneficial.
  • Strong understanding of SEC compliance and reporting requirements.
  • Excellent drafting, negotiation, and communication skills.
  • Ability to manage client relationships and work effectively in a team environment.

Education and Certifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to one or more State Bars.

Skills:

  • Proficiency in SEC regulations and corporate governance practices.
  • Strong analytical and problem-solving abilities.
  • Excellent written and verbal communication skills.
  • Ability to manage multiple priorities and work under deadlines.
