Job Overview:

A law firm in New York City is seeking a skilled and experienced Commercial Mortgage-Backed Securities Associate Attorney to join their team. The ideal candidate will have 3-7 years of securitization experience, with hands-on expertise in preparing and negotiating key documents and agreements. This role requires a proactive individual who has been a critical player in deal teams and is adept at managing transactions from due diligence to closing.

Duties:

  • Prepare and negotiate bid letters and confidentiality agreements related to commercial mortgage-backed securities.
  • Draft and review securitization disclosure and operative documents, including pooling and servicing agreements, mortgage loan purchase agreements, and investor certifications.
  • Serve as a critical member of deal teams, contributing significantly to all stages of transactions, from due diligence through closing.
  • Collaborate with clients and stakeholders to ensure smooth execution of securitization deals.
  • Advise on regulatory compliance and industry best practices in the context of commercial mortgage-backed securities.
  • Stay updated on industry trends and changes in regulations affecting securitization and mortgage-backed securities.

Requirements:

  • 3-7 years of relevant experience in commercial mortgage-backed securities and securitization.
  • Proven track record in preparing and negotiating securitization-related documents and agreements.
  • Experience in managing complex transactions and working within deal teams.
  • Large law firm experience is strongly preferred.
  • Excellent analytical, organizational, and communication skills.
  • Ability to handle multiple priorities and work effectively under pressure.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the New York State Bar.

Skills:

  • In-depth knowledge of securitization processes and commercial mortgage-backed securities.
  • Strong drafting and negotiation skills.
