Job Overview: A highly regarded law firm in Washington, DC, is seeking a Senior Associate or Junior Counsel with a strong focus on Executive Compensation and Employee Benefits, specifically related to mergers and acquisitions. The ideal candidate will have extensive experience drafting and negotiating executive employment agreements and managing equity incentive plans.

Duties:

  • Draft and negotiate executive employment agreements.
  • Develop and oversee equity incentive plans, including profits interest plans.
  • Provide legal counsel regarding compensation and benefits in the context of mergers and acquisitions.
  • Advise clients on tax, securities law, and other legal issues related to compensation arrangements.
  • Collaborate with teams handling M&A transactions to ensure smooth integration of compensation and benefit plans.

Requirements:

  • Strong background in executive compensation and employee benefits, particularly in the context of M&A transactions.
  • Experience drafting and negotiating employment agreements and compensation plans.
  • Familiarity with tax and securities laws as they relate to compensation and benefits.
  • Ability to work effectively within a team and communicate complex legal concepts to clients.

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Active membership in good standing with the Bar in Washington, DC, or ability to become a member promptly.

Certifications:

  • Admitted to the Bar in Washington, DC (or eligible for admission).
