Job Overview:

A law firm based in Boston, MA, is seeking a highly skilled and motivated Commercial Mortgage-Backed Securities Associate Attorney with 3-7 years of experience in securitization. The ideal candidate will have hands-on experience with bid letters, confidentiality agreements, and securitization documents. The role requires expertise in managing transactions and a strong background in large law firm environments.

Key Responsibilities:

  • Prepare and review bid letters and confidentiality agreements related to commercial mortgage-backed securities transactions.
  • Draft and negotiate securitization disclosure documents, pooling and servicing agreements, mortgage loan purchase agreements, and investor certifications.
  • Serve as a critical member of deal teams, managing crucial aspects of transactions from due diligence through closing.
  • Collaborate with clients and internal teams to ensure the successful execution of securitization deals.
  • Conduct legal research and provide strategic advice on complex securitization issues.
  • Stay updated on industry trends, regulatory changes, and commercial mortgage-backed securities market developments.

Requirements:

  • 3-7 years of experience in commercial mortgage-backed securities and securitization.
  • Proven experience in drafting and negotiating securitization documents and agreements.
  • Demonstrated ability to manage transactions and deal with complex legal issues.
  • Large law firm experience is strongly preferred.
  • Exceptional analytical and problem-solving skills.
  • Strong attention to detail and ability to handle multiple tasks simultaneously.

Education:

  • Juris Doctorate (JD) or equivalent law degree from an accredited institution.

Certifications:

  • Active license to practice law in the relevant jurisdiction (MA preferred or eligibility to be admitted).

Skills:

  • Expertise in commercial mortgage-backed securities and securitization processes.
  • Strong negotiation, drafting, and analytical skills.
