A law firm seeks a Transactional Franchise & Distribution Associate Attorney to join its team in Palo Alto, CA. This role is designed for an attorney with a background in U.S. franchising regulations, skilled in drafting franchise-related agreements and ensuring regulatory compliance. The position offers the opportunity to engage in complex business transactions within the franchise sector, serving a diverse clientele, including both domestic and international clients.

Duties:

  • Draft and review franchise agreements, franchise disclosure documents, and related regulatory filings.
  • Provide legal guidance on intricate business transactions within franchise and distribution sectors.
  • Counsel clients on compliance and regulatory issues, including expansion strategies for domestic and international franchisors.
  • Work collaboratively with a team of attorneys on both transactional and litigation matters in franchise law.
  • Serve a varied client base, including start-ups, large franchisors, private equity firms, and international businesses entering the U.S. market.

Requirements:

  • Minimum of 2 years of experience in transactional franchise law.
  • Knowledge of U.S. franchise regulations and compliance.
  • Admission to practice law in California, or eligibility for admission via waiver.
  • Strong analytical, drafting, and writing abilities.
  • Capacity to work both independently and collaboratively in a team environment.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Active membership in good standing with the California State Bar or eligibility for admission.
