A law firm seeks a Debt Finance Associate Attorney to join its prominent team in the Dallas office. The ideal candidate will have 3-6 years of experience in structuring, documenting, and negotiating both secured and unsecured financing transactions for borrowers and lenders. This position will focus on senior secured, mezzanine, and subordinated debt transactions, as well as acquisition financing, loan workouts, and restructurings. Preference will be given to candidates with leveraged finance experience, particularly in the context of mergers and acquisitions, and those familiar with private equity fund representation and restructuring finance.

Duties:

  • Financing Transactions: Structure and document secured and unsecured debt transactions, including senior, mezzanine, and subordinated debt.
  • Acquisition Financing: Assist in structuring and negotiating financing for mergers, acquisitions, and corporate transactions.
  • Loan Workouts & Restructurings: Handle debt restructurings, loan workouts, and other restructuring matters.
  • Private Equity Funds: Represent private equity clients in debt financing and other related corporate matters.
  • Client Interaction: Communicate with clients to assess their needs and provide strategic legal guidance on financing matters.
  • Document Drafting & Negotiation: Draft and negotiate loan agreements, credit facilities, and other related financing documents.
  • Cross-Department Collaboration: Work with colleagues in corporate, restructuring, and other relevant practice areas to provide comprehensive legal support.

Requirements:

  • Experience: 3-6 years of experience in debt finance, with expertise in structuring and negotiating secured and unsecured financing transactions.
  • Leveraged Finance Experience: Strong background in leveraged finance, especially in the context of mergers and acquisitions.
  • Knowledge of Debt Instruments: Familiarity with senior secured, mezzanine, and subordinated debt transactions, as well as acquisition financings and restructuring.
  • Client-Facing Skills: Ability to build and maintain relationships with clients while providing high-quality, strategic legal advice.
  • Negotiation and Drafting Skills: Excellent skills in negotiating complex financing agreements and drafting related documentation.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active license to practice law in the relevant jurisdiction (e.g., Texas).

Skills:

  • Debt Finance Expertise: Strong knowledge of secured and unsecured debt financing, as well as restructuring and acquisition financing.
  • Leveraged Finance Knowledge: Experience with leveraged finance transactions, particularly those related to mergers and acquisitions.
  • Client Communication: Excellent interpersonal skills for interacting with clients and understanding their financing needs.
  • Analytical Ability: Strong attention to detail and ability to analyze complex financial structures.
