A law firm seeks a highly skilled Tax Associate to join its New York office. This role offers the opportunity to work on a wide array of tax matters, including domestic and international mergers and acquisitions, private investment funds, and planning for public and private companies. The successful candidate will be involved in advising clients on complex tax issues, drafting and negotiating key transactional documents, and mentoring junior associates.

Duties:

  • Advise clients on the tax aspects of various transactions, including mergers and acquisitions, private investment fund investments, and transactional and investment planning for both private and public entities, as well as tax-exempt organizations.
  • Draft, review, and negotiate tax-related documentation for private investment funds, including limited partnership and limited liability company agreements, offering documents, and other related fund materials.
  • Provide tax guidance in connection with public or private mergers and acquisitions, financing, and other transactional matters.
  • Mentor and guide junior associates, reviewing their work and offering support in professional development.

Requirements:

  • 3 to 7 years of experience handling complex U.S. and international tax matters within a law firm environment.
  • Proven ability to effectively communicate with clients and colleagues, demonstrating both independence and teamwork skills in transactional settings.
  • Strong organizational and analytical skills with attention to detail.
  • Ability to manage multiple tasks in a fast-paced, deadline-driven environment.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the New York State Bar or eligibility for admission.

Skills:

  • Deep understanding of U.S. and international tax laws, particularly concerning mergers and acquisitions and investment funds.
  • Expertise in drafting and negotiating complex tax documentation for various business transactions.
  • Strong communication skills, both written and verbal.
  • Leadership abilities and the capacity to mentor junior associates effectively.
  • Strong organizational and time management skills.
