A law firm seeks a dedicated midlevel associate to join their Corporate & Business Transactions team in Boston, specializing in life sciences. The ideal candidate will have experience in drafting and negotiating various agreements related to life sciences transactions.

Duties:

  • Draft, negotiate, and review collaboration agreements, license agreements, and supply agreements.
  • Prepare operational agreements, including Confidential Disclosure Agreements (CDAs), Non-Disclosure Agreements (NDAs), Material Transfer Agreements (MTAs), and other relevant contracts.
  • Manage product purchase and sale agreements within the life sciences sector.
  • Collaborate with clients to understand their needs and provide tailored legal solutions.
  • Conduct thorough legal research and analysis to support transaction structuring and compliance.
  • Communicate effectively with internal teams and external stakeholders regarding transaction developments.
  • Maintain organized records and documentation for all transactions handled.

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • 3 to 5 years of experience in a law firm focusing on life sciences transactions, or
  • At least 2 years of experience as in-house counsel for a life sciences company, with a strong desire to work on life sciences transactions.

Education:

  • Juris Doctor (J.D.) from an accredited institution.

Certifications:

  • Active membership in the state bar where the position is located.

Skills:

  • Strong drafting and negotiation skills.
  • Excellent analytical and problem-solving abilities.
  • Detail-oriented with exceptional organizational skills.
  • Ability to manage multiple projects simultaneously in a fast-paced environment.
