Duties:

  • Provide legal counsel on a wide range of transactional tax matters, including mergers and acquisitions (M&A), partnership issues, fund formation, and private equity.
  • Offer expert guidance on tax implications related to REITs, joint ventures, and other complex corporate transactions.
  • Conduct legal research to stay up-to-date on tax law changes and apply that knowledge to client cases.
  • Draft and review tax documents, including agreements, contracts, and corporate tax filings.
  • Collaborate with internal teams to structure and execute tax-efficient business transactions.
  • Communicate with clients to provide strategic advice on tax matters and assist in managing expectations throughout the process.
  • Maintain and manage a portfolio of client matters, ensuring deadlines and client needs are consistently met.

Requirements:

  • 3-5 years of experience in transactional tax law, with a focus on M&A, fund formation, and related tax matters.
  • Excellent verbal and written communication skills.
  • Proven ability to handle multiple projects and meet tight deadlines in a fast-paced environment.
  • Strong problem-solving and analytical abilities, with a deep understanding of tax law and business transactions.
  • Ability to work effectively as part of a team while demonstrating initiative and leadership when necessary.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • LL.M. in Taxation (preferred but not required).

Certifications:

  • Active state bar membership in good standing.

  • Strong drafting, negotiation, and analytical skills.
