Job Overview

A respected law firm is seeking an experienced Corporate Finance Associate Attorney to join its Corporate Finance practice, with a preference for the Chicago office. This role involves advising clients on various finance transactions, including secured and unsecured lending, private placements, and asset portfolio transactions. The position offers an opportunity to work on complex financing matters across multiple asset classes, providing a challenging and rewarding environment for those with a background in transactional, real estate, or finance law.

Location

Duties

  • Advise clients on secured and unsecured lending transactions, including equipment leasing.
  • Represent financial institutions, such as insurance companies, banks, and finance companies, in private placements (both domestic and cross-border).
  • Draft and negotiate offering and transaction documents, including financing statements.
  • Provide counsel on the acquisition or sale of portfolios of financial assets.
  • Act as debt counsel in traditional, leveraged, synthetic, and capital lease transactions.
  • Address commercial and securities law issues as they relate to finance transactions.
  • Represent clients in a variety of financing transactions across different asset classes.

Requirements

  • 3 to 6 years of experience in transactional, real estate, or finance law, ideally within a large or mid-size law firm, in-house law department, or financing company.
  • Proven ability to handle multiple projects simultaneously with strong negotiation skills.
  • Excellent academic credentials and a solid understanding of business, industry, and market issues.
  • Strong interpersonal, analytical, oral communication, and writing skills.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Active membership in good standing or eligibility to waive into the Bar in the jurisdiction of the assigned office.

Skills

  • Proficiency in drafting and negotiating complex finance-related documents.
  • Strong analytical abilities and knowledge of finance-related commercial and securities laws.
  • Superior negotiation skills and capability to manage multiple projects efficiently.
  • Strong interpersonal skills, along with excellent oral and written communication.
