Duties:

  • Advise on the formation, structuring, and regulatory compliance of open-end funds (including ETFs) and closed-end funds across various asset classes.
  • Manage matters related to business development companies (BDCs), including ongoing operational and reporting requirements for private, non-traded, and publicly traded entities.
  • Provide counsel on underwriter representations and capital markets transactions within the investment funds sector.
  • Address governance-related compliance and regulatory issues concerning registered funds and BDCs.

Requirements:

  • 3-6 years of experience as an associate in a recognized investment funds practice, preferably at a global law firm.
  • Proven track record advising on open-end and closed-end funds across diverse asset classes.
  • Experience with business development company matters, including regulatory compliance and operational oversight.
  • Exposure to underwriter representations and capital markets activities within the funds industry.
  • Familiarity with governance-related compliance and regulatory matters specific to registered funds and BDCs.

Education and Certifications:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the bar in relevant states or District of Columbia, or eligibility for prompt admission.
