Mid-Level Corporate Associate Attorney

Job Overview:

The Mid-Level Corporate Associate Attorney will primarily focus on advising public companies or investment banks, with a preference for candidates with experience in technology and/or life sciences sectors. The successful candidate will possess superior academic credentials and exceptional communication skills, both written and verbal.

Duties:

• Provide legal counsel to public companies regarding SEC compliance, disclosure, governance, and exchange matters.
• Represent issuers or investment banks in various capital market transactions including IPOs, SPACs, direct listings, and follow-on offerings.
• Conduct legal research and analysis to support clients' needs and transactions.
• Collaborate with partners and senior associates on complex legal matters.
• Draft and review legal documents, contracts, and agreements related to corporate transactions.

Requirements:

• Minimum of 3+ years of experience advising public companies or investment banks.
• Experience in SEC compliance, disclosure, governance, and exchange matters.
• Proven track record in representing issuers or investment banks in capital market transactions.
• Affinity for or experience in technology and/or life sciences sectors is preferred.
• Excellent academic credentials from a reputable law school.
• Admission to the California Bar is preferred.

Education and Certifications:

• Juris Doctor (J.D.) degree from an accredited law school.
• Admission to practice law in any state in the United States.
• Membership in good standing with the American Bar Association or equivalent professional body.
