A law firm seeks a dedicated and experienced transactional attorney to support its expanding practice group servicing a major private equity client. The role involves managing a variety of transactional and contractual matters, ensuring meticulous review and compliance, and collaborating with multiple stakeholders to deliver exceptional legal services. This hybrid role requires a mix of in-office and remote work, with the exact schedule determined by the firm.

Duties

  • Review and negotiate diverse legal agreements, including:
    • Non-reliance letters
    • Engagement letters (in collaboration with outside counsel and internal teams)
    • Tax representation letters
    • Compliance letters (coordinating with compliance and finance teams)
    • Internal legal correspondence (liaising with litigation and regulatory teams)
    • Schedules to master confidentiality agreements
    • Derivative trade confirmations (in coordination with firm counsel as necessary)
    • Other specialized legal documents as assigned
  • Oversee the processing of credit vendor non-disclosure agreements (NDAs).
  • Assist operations and paralegal teams in completing the medallion guarantee process for stock powers.
  • Handle bespoke legal tasks and provide comprehensive support for day-to-day transactional needs.

Requirements

  • Minimum of 3 years of recent experience in private practice or relevant in-house counsel roles.
  • Proven expertise in reviewing and approving corporate and deal-related vendor contracts, engagement letters, and other similar agreements.
  • Background in one or more of the following practice areas is preferred:
    • Capital Markets
    • Corporate Governance
    • Finance
    • Investment Funds
    • Mergers and Acquisitions
    • Private Equity
    • Restructuring

Education

  • Juris Doctor (JD) from an accredited law school.
  • Undergraduate degree from a recognized institution.

Certifications

  • Active bar membership in good standing.

  • Strong organizational skills and attention to detail.
  • Excellent written and verbal communication skills.
