A law firm seeks an experienced Corporate Associate Attorney to join their New York office. This role focuses on securities and capital markets law, offering the opportunity to work on complex transactions and collaborate with a team of experienced professionals. The ideal candidate will have a strong background in securities law, including experience representing issuers and underwriters in capital markets transactions and advising public companies on regulatory filings and corporate governance. This position requires a candidate who is dedicated to delivering high-quality legal services while advancing toward partnership.

Duties:

  • Provide legal counsel on securities and capital markets matters, including representing issuers and underwriters in capital markets transactions.
  • Advise public companies on ’34 Act filings, corporate governance, and compliance with relevant securities regulations.
  • Draft and review legal documents related to securities offerings, including registration statements and other filings.
  • Collaborate with senior attorneys and clients to develop strategies for complex corporate transactions.
  • Manage multiple tasks and prioritize effectively to meet client needs and deadlines.
  • Conduct legal research and offer insights on complex securities law issues.
  • Maintain professional relationships with clients, regulators, and team members, ensuring excellent service.

Requirements:

  • 3+ years of experience in securities and capital markets law, with a focus on ’33 Act transactions and ’34 Act filings.
  • Strong understanding of public company compliance and corporate governance issues.
  • Proven ability to handle complex transactions independently and as part of a team.
  • Ability to communicate complex legal concepts clearly and effectively to clients and colleagues.
  • Demonstrated ability to manage multiple projects while meeting deadlines and balancing competing priorities.
  • Strong organizational skills with attention to detail.

Education:

  • JD or LLM from an ABA-accredited law school.

Certifications:

  • Admission to the New York Bar or eligibility for admission.

  • Excellent written and oral communication skills.
