A law firm in Boston is seeking an experienced Corporate Associate Attorney (ECVC)  with 4+ years of venture capital and emerging company practice experience.

 

Job Overview:

  • Draft and negotiate venture capital investment agreements, including NVCA forms.
  • Lead negotiations of key terms in venture capital investment agreements.
  • Supervise, train, and mentor associates in venture capital financing.
  • Advise emerging companies on day-to-day operations and equity awards.

 

Duties:

  • Draft and negotiate venture capital investment agreements.
  • Lead negotiations on key terms of investment agreements.
  • Supervise and mentor associates in venture capital financing.
  • Advise emerging companies on operational matters, including board communications and equity awards.
  • Collaborate with clients and colleagues to provide exceptional legal services.

 

Requirements:

  • Juris Doctor (J.D.) or Master of Laws (LL.M.) from an ABA-accredited law school.
  • Admission to the Massachusetts State Bar or eligibility for admission.
  • Knowledge of Excel and capitalization tables.
  • Excellent written and oral communication skills.
  • Ability to prioritize, meet deadlines, and balance competing responsibilities.
  • Strong organizational skills and attention to detail.
  • Professionalism in client and colleague interactions.

 

Certifications:

Admission to the Massachusetts State Bar or eligibility for admission.

 

Skills:

  • Proficiency in drafting legal documents and negotiating agreements.
  • Leadership skills to supervise and mentor junior associates.
  • Collaboration and teamwork abilities.
