Job Overview: A law firm seeks a skilled Fund Formation Associate Attorney to handle various aspects of fund formation, structuring, compliance, and ongoing management for alternative investment funds. The role involves working closely with private fund sponsors and institutional investors, drafting legal documents, and ensuring regulatory compliance.

Duties:

  • Participate in all phases of fund formation, structuring, and capital raising for alternative investment funds.
  • Draft and review limited partnership agreements and limited liability company agreements for private investment funds.
  • Analyze fund documents and identify potential issues on behalf of institutional investors.
  • Prepare offering documents, including Private Placement Memorandums (PPMs), ensuring compliance with securities laws.
  • Handle related capital raising transactions, such as programmatic joint ventures and equity investment processes for independent sponsors.
  • Provide legal advice and guidance to clients throughout the fund formation process.
  • Draft and negotiate transaction documents and commercial agreements.

Requirements:

  • 2-6 years of experience in a large law firm, focusing on private fund sponsor representation and institutional investor matters.
  • Strong understanding of market fund terms and common negotiation issues in fund offerings.
  • Experience with Regulation D and other securities laws governing private placements.
  • Familiarity with the Advisers' Act and related compliance issues for fund managers.
  • Excellent interpersonal skills to interact effectively with clients and colleagues.
  • Strong academic record and exceptional writing and oral communication skills.

Education & Certifications:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the North Carolina Bar.

Skills:

  • Proficiency in drafting legal documents, particularly limited partnership agreements and PPMs.
  • Ability to work independently and manage multiple tasks effectively.
  • Strong analytical skills to identify and address legal issues.
  • Attention to detail and accuracy in document preparation.
  • Negotiation skills for drafting and negotiating transaction documents.
