A law firm seeks an experienced associate to join its Corporate M&A/Private Equity group in Chicago. This is a unique opportunity to work on complex and high-profile corporate transactions, including mergers, acquisitions, and private equity deals. The ideal candidate will have 4-7 years of experience in corporate law, with a strong grasp of corporate deal management and structuring. Duties:

  • Lead and participate in the negotiation and execution of mergers, acquisitions, and private equity transactions.
  • Advise clients on complex corporate governance, restructuring, and deal structuring matters.
  • Draft, review, and negotiate key transactional documents, including purchase agreements, joint venture agreements, and financing arrangements.
  • Conduct thorough due diligence investigations to identify potential risks and liabilities.
  • Collaborate with senior partners and other teams to deliver tailored legal strategies and solutions.
  • Manage and prioritize multiple transactions, ensuring deadlines and client needs are met.
  • Build and maintain strong client relationships, offering strategic advice and insights.

Requirements:

  • 4-7 years of experience in corporate law, with a focus on mergers and acquisitions and private equity transactions.
  • Proven experience in deal management, including drafting, negotiating, and executing complex agreements.
  • Strong due diligence and risk management skills.
  • Ability to work under pressure while maintaining a high level of attention to detail.
  • Strong client relationship-building skills, with a focus on providing clear, effective legal advice.
  • Ability to thrive in a fast-paced, collaborative environment.

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Excellent academic record with a foundation in corporate law.

Certifications:

  • Admission to the Illinois State Bar, or eligibility for admission to the bar.

  • Expertise in corporate transactions, including M&A and private equity.
  • Advanced drafting and negotiation skills.
  • Strong legal research, analytical, and problem-solving abilities.
