Technology & IP Transactions Associate

A law firm seeks an experienced associate to join its high-profile Technology & IP Transactions team in New York City. The firm is looking for an attorney with 3-6 years of experience handling technology and intellectual property-centric transactions. The role offers the opportunity to engage in a diverse range of domestic and international transactions across various industries, including software, pharmaceuticals, life sciences, media, energy, infrastructure, and more. Associates in this team will gain valuable exposure to matters such as M&A, joint ventures, financing, and licensing agreements, among others.

Duties:

• Handle technology and IP-related transactions, including mergers, acquisitions, financing, and joint ventures.
• Advise on strategic alliances, restructuring, and other corporate transactions involving technology and IP assets.
• Draft, review, and negotiate complex agreements such as software and systems agreements, outsourcing, R&D collaborations, and licensing (patents, trademarks, copyrights, and data).
• Provide counsel to clients across a variety of sectors, including media, pharmaceuticals, energy, and consumer products.
• Support both domestic and international clients in navigating IP and technology law matters.
• Foster and maintain strong client relationships, ensuring that clients' legal needs are met efficiently and effectively.
• Manage multiple projects simultaneously and collaborate with cross-functional teams.

Requirements:

• 3-6 years of experience in technology and IP transactions or a related area.
• Solid background in advising on mergers, acquisitions, financing, joint ventures, and strategic corporate transactions.
• Experience with IP licensing, software agreements, outsourcing contracts, and R&D collaborations.
• Ability to handle complex legal issues across diverse industries, including media, pharma, and technology.
• Strong contract negotiation and drafting skills.
• Familiarity with both domestic and international business environments and legal practices.
• Excellent communication and organizational skills.

Education:

• Juris Doctor (JD) from an accredited law school.
• Strong academic performance with a demonstrated ability to analyze and solve legal issues creatively and efficiently.

Certifications:

• Admission to the New York State Bar or eligibility to obtain admission promptly.

Skills:

• Expertise in technology and intellectual property law, especially in transactional matters.
• Strong drafting and negotiating abilities with attention to detail.
• Ability to handle high-pressure transactions and tight deadlines.
