A law firm is seeking a Mid-Senior Level Finance Associate Attorney for their Houston office. The ideal candidate will have substantial experience in executing complex finance transactions and credit arrangements. Asset-based lending experience is a plus. The candidate must possess strong academic credentials and a background working in a law firm setting. This role involves working closely with clients, advising on sophisticated financial matters, and ensuring legal compliance throughout various stages of finance transactions.

Key Responsibilities

  • Execute complex finance transactions, including syndicated loans, secured and unsecured credit arrangements, and structured finance.
  • Advise clients on matters related to asset-based lending and various types of secured lending transactions.
  • Draft, review, and negotiate finance agreements, loan documents, security agreements, intercreditor agreements, and other related documentation.
  • Collaborate with internal legal teams and external stakeholders to manage transactional workflows from initiation to closing.
  • Conduct due diligence and ensure compliance with applicable laws and regulations governing finance transactions.
  • Provide strategic legal counsel to clients on risk management, regulatory issues, and structuring financial deals.
  • Manage and lead transactions in a fast-paced, client-facing environment, ensuring timely and successful completion.
  • Stay updated on legal trends, developments in finance law, and industry best practices.
  • Support senior attorneys and partners on large, complex deals, while leading smaller transactions independently.

Qualifications & Requirements

  • Juris Doctor (JD) from an accredited law school.
  • Active license to practice law in Texas, or eligibility for admission to the Texas Bar.
  • 5+ years of experience in finance law, particularly in executing complex finance transactions.
  • Experience in asset-based lending is preferred, but not required.
  • Prior experience in a reputable law firm environment handling finance or credit-related legal matters.
  • Excellent understanding of UCC Article 9 and other relevant laws and regulations.
  • Strong drafting, negotiation, and transaction management skills.
