A law firm in Costa Mesa, CA, seeks a highly qualified Corporate Health Plan Associate Attorney with significant experience advising healthcare clients on strategic transactions and regulatory compliance related to health plans. The role involves providing legal counsel on mergers and acquisitions, asset and equity acquisitions, venture capital investments, and joint ventures, as well as assisting clients with corporate governance and day-to-day operational matters.

 

Job Duties:

  • Advise healthcare clients on strategic transactions including mergers and acquisitions, asset and equity acquisition transactions, venture capital investments, and joint venture transactions.
  • Assist clients with corporate governance matters, including entity formations, capital raises, and operational strategies.
  • Conduct legal research and provide analysis on state and federal laws pertaining to health plans, managed care, provider contracting, Medicare risk adjustment, STARS ratings, Medicaid matters, and behavioral health parity.
  • Draft and negotiate a variety of agreements and contracts related to health plan operations and provider relationships.
  • Provide guidance on regulatory compliance issues and assist with regulatory filings and audits.
  • Communicate directly with clients to understand their business objectives and provide practical legal advice tailored to their needs.
  • Take ownership of projects, manage workflows efficiently, and ensure timely delivery of high-quality work.
  • Collaborate effectively with colleagues and external advisors to deliver comprehensive legal solutions to clients.

 

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the State Bar of California (active and in good standing).
  • 4-6 years of experience practicing law with a focus on health plan operations, regulation, managed care, and related state and federal laws.
  • Strong knowledge of provider contracting issues, Medicare risk adjustment methodologies, STARS ratings, Medicaid regulations, and behavioral health parity.
  • Excellent oral and written communication skills, including the ability to convey complex legal concepts clearly and persuasively.
  • Strong analytical and problem-solving skills with attention to detail.
  • Ability to work independently and as part of a collaborative team environment.
  • Outstanding academic credentials demonstrating a commitment to excellence.

 

Preferred Skills:

  • Experience working with healthcare clients, including health insurers, managed care organizations, or healthcare providers.
  • Prior experience in handling healthcare transactions or corporate governance matters.
  • Familiarity with healthcare regulatory agencies and processes.

 

Education and Certifications:

  • Juris Doctor (J.D.) from an accredited law school.
  • Admission to the State Bar of California.
