Job Overview:
A law firm based in Sioux Falls, South Dakota, is currently seeking an experienced and driven Business and Transactions Attorney to provide legal counsel in various corporate matters. The successful candidate will work closely with clients across multiple industries, offering tailored legal strategies for risk management, contracts, governance, mergers and acquisitions, entity formation, and compliance. Duties:

• Develop and implement customized legal strategies in collaboration with clients, ensuring alignment with their business goals.
• Conduct thorough legal research and guide relevant laws, regulations, and industry standards.
• Draft, review, and negotiate various business-related agreements, including contracts, operating agreements, and employment contracts.
• Advise clients on corporate matters such as entity formation, governance, and compliance.
• Provide strategic legal counsel during mergers, acquisitions, divestitures, and other business transactions.
• Handle multiple client matters concurrently while maintaining a high level of service and meeting all deadlines.
• Oversee and guide paralegals, staff, and team members as necessary.
• Participate in business development initiatives and contribute to professional organizations.
• Perform other duties as required.

Requirements:

• At least 5 years of relevant experience in business and transactional law (10 years preferred).
• Ability to manage multiple matters and prioritize tasks effectively.
• Strong communication, negotiation, and analytical skills.
• Entrepreneurial mindset with a business-oriented approach to legal challenges.

• Strong organizational and time management skills.

Education:

• Juris Doctor (JD) degree from an accredited law school.

Certifications:

• Must be licensed to practice law in South Dakota or eligible to become licensed.
