Job Overview:
A prestigious law firm is seeking an Executive Compensation & Employee Benefits Associate to join their dynamic team. This role involves advising top technology and Fortune 500 companies on complex compensation issues, with a particular focus on mergers and acquisitions. The ideal candidate will bring 1-3 years of experience, including significant deal experience, and have expertise in executive compensation, tax, and securities law. Location:

Duties:

  • Advise clients on executive compensation and employee benefits matters
  • Focus on mergers & acquisitions, tax, and securities law issues
  • Provide support in structuring compensation arrangements and designing employee benefit programs
  • Assist in legal due diligence and negotiation of compensation arrangements for M&A transactions
  • Draft, review, and negotiate legal documents related to executive compensation
  • Work closely with clients to address complex legal issues and develop strategic solutions
  • Collaborate with a team to manage multiple projects and provide high-quality legal advice

Requirements:

  • 1-3 years of experience in executive compensation, mergers & acquisitions, and related tax and securities law matters
  • Significant deal experience, particularly in M&A transactions
  • Superior academic credentials
  • Strong communication, writing, and interpersonal skills
  • Ability to manage complex projects and deliver results under pressure
  • Must be admitted to the bar in CA, NY, or WA

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • Bar admission in California, New York, or Washington (WA)

Skills:

  • Strong knowledge of executive compensation and employee benefits law
  • Experience in M&A transactions and related legal issues
  • Excellent legal research, writing, and drafting abilities
  • Strong negotiation and communication skills
  • Ability to manage multiple priorities in a fast-paced environment
