Job Overview:
A law firm located in Omaha, NE is looking for an experienced Corporate Finance Associate to join its team. This position is ideal for an attorney with a strong background in mergers and acquisitions, securities law compliance, venture capital, private equity, and corporate governance. Duties:

• Assist in managing mergers and acquisitions transactions, focusing on both the legal and strategic aspects.
• Support venture capital investment transactions, including structuring deals and providing legal advice.
• Worked on private equity investments and leveraged buy-out transactions, assisting in deal execution.
• Advise clients on securities law matters, including preparing and reviewing Forms 10-K, 10-Q, and 8-K, and proxy statements.
• Provide counsel on corporate governance issues, ensuring compliance with regulatory requirements.
• Handle public and private offerings of equity and debt securities, guiding clients through the process.
• Collaborate with senior attorneys and clients to provide legal expertise in complex corporate finance matters.

Requirements:

• Active license to practice law in Nebraska.
• A minimum of 3 years of experience in corporate finance, mergers and acquisitions, or related practice areas.
• Strong understanding of securities law and capital markets.
• Experience in venture capital and private equity transactions.
• Ability to manage multiple tasks and responsibilities in a fast-paced environment.

Education:

• Juris Doctor (JD) from an accredited law school.

Certifications:

• Active Nebraska State Bar membership.
