A law firm seeks a talented and experienced associate to join its Investment Funds practice in Salt Lake City. This position is ideal for an attorney with a solid foundation in fund formation and investment management. The successful candidate will work with a dynamic team, advising on a wide range of fund structures, including private equity, real estate, credit funds, and venture funds. Experience with secondary transactions, GP stake sales, or managing complex fund structures will be a distinct advantage.

Duties:

  • Advise clients on the formation, structuring, and operation of various investment funds, including private equity, real estate, credit funds, and venture funds.
  • Provide legal counsel to fund managers and sponsors on regulatory, compliance, and transactional matters.
  • Assist with secondary transactions and GP stake sales, including structuring and negotiation of terms.
  • Manage relationships with clients, ensuring their investment fund structures comply with legal requirements.
  • Conduct in-depth legal research and due diligence on relevant issues impacting investment funds.
  • Draft and negotiate agreements related to fund formation, including limited partnership agreements and side letters.
  • Work closely with senior partners to provide strategic advice on fund formation and management.
  • Collaborate with other practice groups, including tax, securities, and regulatory, to ensure comprehensive legal solutions for clients.

Requirements:

  • 2-6 years of experience in investment management, fund formation, or a related field.
  • Strong knowledge of private equity, real estate funds, venture funds, credit funds, and/or BDCs.
  • Experience with the structuring and formation of investment funds, and secondary transactions such as GP stake sales, is highly preferred.
  • Strong corporate law background, with the ability to apply legal principles to complex transactions.
  • Ability to handle multiple matters efficiently in a fast-paced environment.
  • Strong interpersonal and communication skills, both written and verbal.
  • Proven ability to build and maintain client relationships while providing excellent legal service.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Strong academic credentials.

Certifications:

  • Admission to practice law in the state of Utah or eligibility to become admitted.

Skills:

  • Expertise in fund formation and investment management law.
  • Proficient in structuring and negotiating investment fund agreements.
  • Knowledge of securities laws, regulatory compliance, and the intricacies of various fund types.
  • Strong legal research and analytical skills.
