Duties and Responsibilities:

  • Advise clients on a wide range of securities law matters, including debt and equity securities offerings.
  • Provide guidance on public company reporting obligations, ensuring compliance with SEC rules and regulations (Securities Act of 1933 and Securities Exchange Act of 1934).
  • Draft, review, and negotiate legal documents, such as registration statements, offering memoranda, and other disclosures related to public securities offerings.
  • Lead due diligence teams during capital markets transactions, managing specialists to ensure thorough reviews and compliance.
  • Collaborate with specialists and cross-functional teams in handling complex transactions.
  • Advise clients on corporate governance practices and SEC compliance, ensuring adherence to legal and regulatory requirements.
  • Stay informed on current trends and changes in securities regulations and capital markets, providing clients with updated legal advice.
  • Assist in the preparation and filing of periodic reports, proxy statements, and other required SEC filings.
  • Manage multiple client matters simultaneously, ensuring timely, high-quality legal service delivery.

Requirements:

  • 2-5 years of relevant experience in corporate law, with a strong focus on securities law and capital markets transactions.
  • Expertise in public company reporting obligations, SEC compliance, and corporate governance matters.
  • Experience leading and managing due diligence teams during capital markets transactions.
  • Proficient in drafting and reviewing legal documents related to public securities offerings and corporate governance.
  • Ability to work on multiple assignments independently, delivering high-quality work under tight deadlines.
  • Strong legal writing, research, and analytical skills.

Education and Certifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Licensed to practice law and in good standing with the New Jersey State Bar.
