Duties and Responsibilities:

  • Advise clients on the formation, operation, and regulatory compliance of private equity funds.
  • Draft, review, and negotiate fund formation documents, including partnership agreements and subscription documents.
  • Provide legal guidance on fund structuring, governance, and investor relations.
  • Assist with the preparation and filing of regulatory documents and compliance reports.
  • Conduct due diligence on fund investments and provide legal opinions as needed.
  • Collaborate with other attorneys and professionals to address complex legal issues and develop strategies.
  • Stay current with changes in laws and regulations affecting private equity funds and provide updates to clients.

Requirements:

  • Minimum of 3 years of experience in private equity fund formation and related fund operational matters.
  • Proven track record of handling complex fund formation and compliance issues.
  • Strong understanding of relevant regulations and industry standards.
  • Exceptional analytical, organizational, and problem-solving skills.
  • Excellent communication and negotiation abilities.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the New York State Bar or eligibility for admission.

Certifications:

  • Bar admission in New York State (required).

Skills:

  • Expertise in private equity fund formation and operational matters.
  • Strong knowledge of investment fund regulations and compliance requirements.
  • Proficiency in drafting and negotiating fund-related documents.
